Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using Zuta you represent that you meet this requirement and that you have the legal capacity to enter into these terms.
Accounts
- You must provide accurate, current, and complete information when registering.
- You are responsible for maintaining the confidentiality of your password and for all activity under your account.
- You must notify us immediately of any unauthorized access to or use of your account.
- We may suspend or terminate accounts that violate these terms or applicable law, or that create risk or legal exposure for Zuta or its users.
License to use the app
Subject to these terms, Zuta Technologies, LLC grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Zuta app on devices you own or control, solely for your personal, non-commercial use of the Services. You may not:
- copy, modify, or create derivative works of the app;
- reverse engineer, decompile, or disassemble the app, except to the extent expressly permitted by applicable law;
- rent, lease, sell, sublicense, or transfer the app to any third party;
- remove or alter any proprietary notices or labels on the app; or
- use the Services to build a competing product or to scrape, harvest, or index content.
Acceptable use
You agree not to use the Services to:
- violate any law, regulation, or third-party right;
- upload or transmit content that is unlawful, harmful, fraudulent, infringing, or obscene;
- impersonate any person or entity, or misrepresent your affiliation;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, or networks;
- transmit any virus, worm, or other malicious code; or
- use automated tools to access the Services without our consent.
Orders, pricing, and payment
- Product listings, prices, and availability are subject to change without notice. We may correct errors at any time.
- Placing an order is an offer to purchase. We may accept or decline any order at our discretion, including where an item is out of stock, the price is wrong, or we suspect fraud.
- You authorize us and our payment processors (Stripe and Paystack) to charge the payment method you select for all amounts due, including taxes and delivery fees.
- You are responsible for any chargebacks, reversals, or collection costs resulting from your transactions.
- All payments are handled by our payment processors. Zuta does not store full payment-card data on its servers.
Shipping, delivery, and risk
Estimated delivery windows are estimates only. Title and risk of loss for goods pass to you upon delivery to the address you provided. We are not liable for delays caused by incorrect addresses, carrier issues, natural events, or other circumstances beyond our reasonable control.
Returns and refunds
Our returns and refunds policy is available in the app and on our website. Unless otherwise required by law, returns are accepted only for items that are defective or materially different from their description, within the period stated in the policy.
Delivery agents and marketplace sellers
Some users of the Services act as delivery agents or as marketplace sellers (“Merchants”). Those users are bound by additional terms presented in the app during onboarding. Merchants are responsible for the accuracy of their listings, the quality of goods sold, and compliance with applicable law. Zuta is not a party to transactions between Merchants and buyers except where Zuta is the seller of record.
User content
The Services may let you upload content such as profile photos, product images, or reviews (“User Content”). You retain ownership of your User Content. By submitting it, you grant Zuta Technologies, LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting), and display the User Content solely to operate and promote the Services. You are responsible for your User Content and must have the rights necessary to grant this license.
Intellectual property
The Services and all associated software, content, branding, and trademarks are the property of Zuta Technologies, LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are granted to you.
Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect and handle personal data.
Third-party services and app-store terms
The Services integrate with third parties including Stripe, Paystack, Google Firebase, PostHog, Apple Push Notification service, and Google Cloud Messaging. Those services are provided under their own terms and privacy policies, and Zuta is not responsible for them.
If you install the app from the Apple App Store, you acknowledge that these terms are between you and Zuta Technologies, LLC, not with Apple, and that Apple is not responsible for the app or any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. If you install the app from Google Play, the Google Play Terms of Service also apply to your download and use of the app.
Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
Limitation of liability
To the maximum extent permitted by law, Zuta Technologies, LLC and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or business interruption, arising out of or related to these terms or the Services. Our total liability for all claims related to the Services will not exceed the greater of (a) the amount you paid to Zuta Technologies, LLC in the twelve (12) months before the claim, or (b) USD $100.
Indemnification
You agree to indemnify and hold Zuta Technologies, LLC and its affiliates harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, or your breach of these terms.
Termination
You may stop using the Services and delete your account at any time from within the app under Account → Delete Account, or by writing to support@thezuta.com. We may suspend or terminate your access immediately if you violate these terms or use the Services unlawfully. Sections that by their nature should survive termination (including those on user content, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and these survival provisions) will survive.
Governing law and dispute resolution
These terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or the Services will be resolved in the competent courts of the State of California, unless a mandatory local law grants you the right to bring a claim in your country of residence.
Changes to these terms
We may update these terms from time to time. If a change is material, we will provide at least 30 days’ notice through the app, by email, or on this page before it takes effect. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
